Hughey Business Law, PLLC (HBL) is a business law practice founded by Derek Hughey. Through a unique platform that utilizes the latest technology and eliminates virtually all of the overhead of a traditional law firm, HBL provides the high-quality legal work clients expect from large law firms while providing better service at a much lower cost. This structure enables a wider range of clients to access the high-end legal services usually reserved for large, well-financed corporations.

HBL focuses on the corporate and securities and general business needs of small to mid-sized companies, private equity and venture capital firms and entrepreneurs, including (1) equity and debt financings, (2) mergers and acquisitions and (3) business formations.  HBL also represents public and private companies of all sizes as outsourced counsel for their general corporate legal needs, including commercial contracts, employment agreements and equity compensation arrangements.

High-Level Expertise

Derek graduated from Duke University Law School and was a Partner in the Corporate and Securities Department of Bass, Berry & Sims PLC, a leading law firm with its main office in Nashville, Tennessee. Since starting his legal practice in 1997, Derek has worked on hundreds of corporate and securities transactions valued in the billions of dollars, providing him in-depth experience on a wide range of legal matters across multiple industries.

Derek also received an MBA from Duke University’s Fuqua School of Business and studied accounting in college. As a result, he has a unique understanding of the business and financial issues that companies face at every stage of their development. This additional perspective allows Derek to act as a partner and strategic advisor to clients and not simply as corporate legal counsel.

Having worked on hundreds of transactions since 1997, Derek understands well the legal issues that businesses generally face and how to complete a transaction in the most efficient manner. Because clients’ corporate legal work is not delegated to new associates as typically happens in a larger law firm, clients consistently receive the benefits of his expertise, and they don’t have to pay to train younger, less-knowledgeable lawyers. This allows their legal work to be completed in a timely, efficient and cost-effective manner.

When issues arise outside of Derek’s expertise, Derek uses his extensive network of lawyers who have similar backgrounds and credentials to Derek and the highest levels of expertise in the fields of intellecutal property, tax, health care regulations, litigation, real estate, commercial lending, employment law and enviornmental law. Without being tied to a large law firm, Derek is able to select lawyers at different locations and firms who work together as a team to provide the best service with the greatest value to the client. This structure allows clients to receive the work product they would expect from a large, sophisticated law firm but without the inefficiences and higher cost.

HBL has eliminated almost all of the overhead of a traditional “bricks and mortar” law firm. While other law firms must pay for expensive office space, a sizeable support staff and other costly necessities, HBL has taken advantage of the extraordinary changes in technology to provide the same level of legal expertise without incurring these expenses. Because its overhead is greatly reduced, HBL is able to offer rates significantly lower than those charged at large law firms by lawyers who have experience comparable to Derek’s.

Not only do HBL’s clients receive lower rates, they also benefit because their legal work is being done only by an experienced lawyer. In many cases, law firms delegate work to younger lawyers who are less knowledgeable and often much less efficient than a senior lawyer.
