What We Are

Hughey Business Law, PLLC is a business law firm. We represent clients of all types and sizes on corporate and securities transactions, including mergers and acquisitions, equity and debt financings and business formations.  We also represent public and private companies as outsourced counsel for their general corporate legal needs, including commercial contracts, employment agreements and equity compensation arrangements.

What We're Not

We are not your typical law firm.  The attorneys in our firm and our network of outside attorneys in different practice areas are top-tier, senior-level attorneys who’ve moved away from the traditional law firm model.  By working in a low-overhead environment, keeping our staffing lean and only using senior attorneys, we provide legal services efficiently and at a much better value to our clients.  This structure enables a wider range of clients to access the high-end legal services usually reserved for large, well-financed corporations. 

What You Can Expect

While our business model may be new, our focus on delivery of sophisticated, client-driven legal services is strictly traditional.  You can expect, in other words, more of what you need — and less of what you don’t need —  in both your attorney and your law firm.

Derek Hughey

Prior to founding Hughey Business Law, PLLC in 2009, Derek practiced law for over a decade at Bass, Berry & Sims PLC, a 200+ attorney firm with its main office in Nashville, Tennessee. As a Partner in the Corporate and Securities Department and Chair of the Venture Capital Group, Derek represented private and public companies, private equity and venture capital firms and other investors in a wide range of corporate and transactional matters, including private equity and debt financings, mergers and acquisitions, business formations, corporate governance, equity compensation, public offerings and SEC reporting and disclosure.

A Nashville native, Derek received his JD from Duke University Law School in 1997.  Derek also received an MBA from Duke University’s Fuqua School of Business in 1997 and graduated summa cum laude from Lipscomb University in 1993 with a degree in accounting and a minor in mathematics. Derek's business background gives him a unique understanding of the business and financial issues that companies face at every stage of their development. This additional perspective allows Derek to act as a partner and strategic advisor to clients and not simply as corporate legal counsel.

In his spare time, Derek enjoys cooking, photography, playing softball and traveling internationally (108 countries to date). He and his wife, Shanna, have two young children (Harper and Walker).  From 2007 to 2008, Derek and his wife, Shanna, traveled around the world, visiting 40 countries on four continents. Laureen Kuzur

Laureen Kuzur is a corporate and securities attorney with both law firm and in-house experience. Prior to joining Hughey Business Law, PLLC, she was Director and Corporate Counsel for Asurion Insurance Services where she focused on domestic and international corporate transactions, corporate governance, equity matters and commercial contracts.

Laureen spent five years in London, England working with the international law firm of Baker & McKenzie. While at Baker & McKenzie, Laureen worked on various types of corporate transactions including international equity and debt capital markets transactions involving issuers in the emerging markets of Eastern Europe and the Middle East. She traveled extensively during this time, encountering a variety of high-growth companies and entrepreneurs.

Before moving to London, Laureen was with the Nashville office of Baker, Doneslon, Bearman, Caldwell & Berkowitz, PC for over four years and advised on securities and general corporate matters for public and private companies in a number of industry sectors.

A Nashville native, Laureen received her JD cum laude in 2002 from the University of Tennessee College of Law, where she also served as Editor in Chief of the Tennessee Law Review. She graduated cum laude from Northwestern University in 1998 with an undergraduate degree in International Studies and Communication Studies.
